Zapier Meetup Host Terms

Thanks for your interest in hosting a meetup focused on Zapier (“Meetup”)! If you wish to receive support from Zapier, Inc. (“Zapier”), such as a copy of our Customer Host Meetup Guide, the ability to order certain Zapier swag for your Meetup, and to be able to reimburse certain expenses related to the Meetup, you will need to agree to these Zapier Meetup Host Terms (the “Terms”).

1. Meetup Responsibility

You agree that you, and not Zapier, are the host of the Meetup.  As such, you are independently responsible for organizing and managing the Meetup, including securing a venue, determining appropriate activities, managing attendance, responding to any attendee concerns, and ensuring compliance with applicable laws and regulations.  In the event that alcohol is provided or allowed at the Meetup, this includes ensuring all attendees are of legal drinking age, consume responsibly, and that guests remain safe (including where applicable, the provision of rideshare credits).  In no event shall Zapier have any responsibility or liability for the Meetup, including without limitation, to you as the Meetup host or to Meeting attendees.

2. Registration

You may submit your proposed idea for a Meetup at: https://zapier.com/resources/events/meetups.  Zapier will review your idea and may provide approval at its sole and exclusive discretion.  If Zapier provides you with approval, Zapier will provide access to certain Meetup resources and benefits, which may be helpful in hosting your Meetup.  These benefits may include but are not limited to listing information about your Meetup on the Zapier website, access to the Customer Host Meetup Guide (Section 3) the right to use certain Zapier intellectual property in the promotion of your Meetup (Section 4), and where applicable, receipt of certain reimbursements for Meetup expenses (Section 5).

3. Customer Host Meetup Guide

If your Meetup is approved, you will receive access to the Customer Host Meetup Guide (the “Guide”) which lists additional requirements for hosting your Meetup, such as adhering to the Zapier Code of Conduct located at: https://zapier.com/jobs/zapier-code-of-conduct, registering customers to attend your Meetup, and taking pictures at the Meetup where possible and appropriate. In addition, you agree that Zapier may use any photographs, recordings, electronic images, or publicity material received by or obtained in the course of your Meetup for any purpose, without further compensation to you.

4. Zapier Intellectual Property

Zapier may, in connection with your Meetup, provide you with access to certain Zapier branding, collateral and/or other promotional materials containing Zapier intellectual property during the Term. For the avoidance of doubt, all Zapier intellectual property remains the sole and exclusive property of Zapier, and to the extent provided, may be used by you solely for purposes of hosting your Meetup during the Term. Zapier may rescind your rights under this Section 3 and/or otherwise direct you to cease use of any Zapier intellectual property at any time.

5. Reimbursements

Zapier may, in its discretion, provide you with up to $1,000 USD in reimbursements for a successfully completed Meetup. Requirements for reimbursement are set forth in the Guide, and for clarity, include providing: (a) receipts for costs incurred; and (b) substantiation that the Meetup in fact took place (such as a list of guests and pictures). If Zapier has reason to believe that your Meetup did not in fact take place or you are otherwise in violation of these Terms, Zapier may decline to provide you with any reimbursement. All reimbursement requests must be submitted within thirty (30) days after your Meetup.

6. Indemnification

You, at your own cost, will defend Zapier from and against any third-party claims arising from or related to your Meetup (“Claims”) and will indemnify and hold harmless Zapier from and against any damages or costs awarded against Zapier (including reasonable attorneys’ fees) or agreed in settlement by Zapier resulting from Claims.

7. Limitation of Liability

Zapier’s entire liability arising out or related to these Terms will not exceed the actual amounts reimbursed by or reimbursable by Zapier to you in Section 5 above.

8. Term; Termination; Survival

These terms start on the date that you accept them and continue until the end of your Meetup, unless sooner terminated in accordance with the Terms.  Either party may terminate these Terms for any or no reason with notice to the other party.  In the event that Zapier terminates these Terms, you shall cease use of any Zapier intellectual property, including swag, and statements that your event is associated with Zapier in any way.  The following Sections will survive expiration or termination of these Terms: Section 1 (Meetup Responsibility), Section 4 (Zapier Intellectual Property), Section 6 (Indemnification), Section 7 (Limitation of Liability), Section 8 (Term; Survival), and Section 9 (Governing Law; Jurisdiction).

9. Governing Law; Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without reference to its conflict of laws principles.  All disputes arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of a court of competent jurisdiction located in Wilmington, Delaware, and each party irrevocably consents to such personal jurisdiction and waives all objections to this venue.

10. Miscellaneous

Neither party may assign or delegate any of its rights or obligations under these Terms without the prior written consent of the other party.  If any provision of these Terms is held to be invalid or unenforceable, the remaining portions will remain in full force and effect and enforced to the maximum extent possible so as to effect the intent of the parties and reformed to the extent necessary to make such provision valid and enforceable.  No waiver of rights by either party may be implied from any actions or failures to enforce rights under these Terms.  These Terms and the policies or terms referenced and incorporated herein constitute the entire agreement and understanding between the parties concerning the subject matter.
