Guide to the Zapier Enterprise Agreement

This guide accompanies our Enterprise Agreement (“Agreement”). We've found our Enterprise terms are much easier to evaluate with additional information about how our Service works and how it handles your data. This guide provides it.


This guide covers the nature of the Service, how we handle customer data, our security and compliance posture, and key commercial terms: indemnification and liability.


Nature of the Service


A Zapier Enterprise subscription provides access to its cloud-based AI orchestration and automation platform (the “Service”). Our customers use it to connect third-party applications and build automated workflows across them. The customer chooses which applications to connect, how those applications should interact with each other, and controls what data is transmitted. We process that data to execute the workflow and return results strictly in accordance with the instructions you provide through your configuration and use of the Service.


Customer Content


Under our Agreement, "Customer Content" means the information, content, or materials a customer submits through the Service. That definition is deliberately broad: it covers data moving between connected applications, data stored in tables, inputs captured through forms, and outputs produced by AI features. All of it belongs to the customer. Our license to Customer Content is limited to what’s needed to provide and maintain the Service, to address service, security, support, or technical issues, or as required by law. That is the full scope of our rights. We do not use your Customer Content to train AI models or to develop or improve the Service.


Our protection of Customer Content is enforced at the platform level, not just the contract level. The Agreement and Data Processing Addendum (“DPA”) terms map directly to technical controls within our security and compliance program for the Service. Because the contractual language, the infrastructure of the Service, and the audit scope are aligned, the data provisions included in the Agreement and the DPA are offered on standardized terms.


Separately, our Agreement defines “Usage Information” as operational data on how the Service is used, including configuration data, metadata, and analytics. Usage Information does not include Customer Content. Like other SaaS platforms, we use this operational data to maintain and improve our products.


Data Processing and Security


We maintain SOC 2 Type II certification and are certified under the EU-U.S. Data Privacy Framework, including the UK Extension and Swiss-U.S. DPF. When using the Service, the customer is the controller of personal information contained in Customer Content; we process it as described above. 


Our DPA gives the customer the right to review our third-party audit reports, including our annual SOC 2 Type II report. Retention and deletion of Customer Content are governed by our published Data Retention/Deletion/Export Schedule.


Where a customer connects to a third-party service (e.g., an AI provider) via an integration or a customer-supplied API key, that third-party's terms govern its handling of Customer Content.


Indemnification


We provide indemnification for third-party claims alleging that the Service, when used as authorized, infringes a U.S. patent, copyright, trade secret, or trademark. This indemnity is not subject to a liability cap.


Liability


Our liability to the customer is capped at the fees paid during the twelve months preceding the claim. Tying liability to contract value ensures that exposure is proportional to the commercial scope of the engagement and scales as the relationship grows. The Agreement pairs this direct liability cap with a mutual exclusion of indirect and consequential damages, a standard risk allocation in enterprise SaaS agreements.
