These Powered by Zapier Terms apply to the following:

Powered by Zapier Offering Product Terms are located in Appendix A.

These Powered by Zapier Terms govern Developer's use of one or more Powered by Zapier Offerings specified above. By downloading, installing, or otherwise accessing or using any part of the Powered by Zapier Offerings, Developer agrees to these Terms. If Developer does not agree, it must not use any of the Powered by Zapier Offerings.
Definições
a. “Acceptable Use Policy” means the Zapier Acceptable Use Policy, which is incorporated into these Terms.
b. "Apps" mean Developer's own branded applications and application programming interfaces and other control or orchestration protocols that Modules use (including updates, modifications, and versions thereto).
c. “Beta Release” means any alpha, beta, developmental, test, experimental, preview, or early-access releases of the Powered by Zapier Offerings or other products or services. Any of the preceding terms on a feature, product, or program is notice of Beta Release status.
d. "Custom Code" means code provided by Zapier under a specific Powered by Zapier Offering.
e. “Developer” means the company or other legal entity that owns the Apps and is accepting these Terms.
f. "Documentation" means the applicable Powered by Zapier Offering documentation available to Developer on the Powered by Zapier Offering Website or elsewhere.
g. "End User" means a customer of Developer that uses Modules or is provided with additional benefits in connection with a Powered by Zapier Offering.
h. ”Enterprise Agreement” means an agreement entered into between Zapier and End User for receipt of Service at the enterprise plan level.
i. “Feedback” means all feedback, comments, ideas, proposals, and suggestions for improvements (with associated context) regarding the Powered by Zapier Offerings, Modules, or Services, or any other Zapier products, services, or business.
j. "Libraries" mean Zapier script libraries related to the Powered by Zapier Offering on the Powered by Zapier Offering Website or elsewhere (including updates, modifications, and versions thereto).
k. "Modules" means Developer’s self-hosted integrations and links that connect Apps with one or more Powered by Zapier Offerings using APIs (application programming interfaces), or other protocols, such as MCPs (model context protocols), set forth in the Documentation. Modules are used by End Users to access Service features and functionalities from within the App.
l. “Order” means Developer’s commercial order with Zapier for receipt of certain Powered by Zapier Offerings which references these Terms.
m. "Powered by Zapier Offering" means the specific Zapier offering described in Appendix A that integrates automation capabilities into the Apps or provides End User with certain benefits when using the Service, and includes, as applicable, Documentation, Custom Code, Libraries and Zapier APIs (application programming interfaces) and other Zapier protocols such as Zapier MCPs (model context protocols), and materials made available to Developer (including updates, modifications, and versions thereto).
n. "Powered by Zapier Offering Website" means https://docs.zapier.com/partner-solutions/ or as may otherwise be referenced in an Order by and between Developer and Zapier.
o. "Service" means Zapier’s cloud-based automation platform available to an end user at zapier.com after registering for and opening a Zapier account.
p. “Terms” means these Powered by Zapier Terms, including all terms incorporated herein by reference and the applicable Powered by Zapier Offering product terms in Appendix A.
q. "TOS" means the Zapier Terms of Service that governs the use of the Services, as updated from time to time.
r. “Trademarks” means a party's domains, product names, service names, trademarks, trade names, service marks, logotypes, or brand identifiers, whether registered or unregistered.
s. “Zapier” means Zapier, Inc., a Delaware corporation.
t. “Zapier Customer” means an End User that has agreed to the TOS or an Enterprise Agreement and has a Zapier account.
1. License
a. Grant: Subject to Developer's full compliance with these Terms and any applicable Powered by Zapier Offering-specific terms in Appendix A, including where applicable, the payment of fees in connection with an Order, Zapier grants Developer a limited, non-exclusive, non-transferrable, non-sublicensable, and revocable license during the Term to access and use the applicable Powered by Zapier Offering. Any use in violation of these Terms is strictly prohibited and deemed unlicensed.
b. Third-Party Software: Powered by Zapier Offerings may include third-party software under separate license terms and open-source Custom Code, as described in Documentation. Developer's use of any such software is subject to its respective licenses.
2. Developer Responsibilities
a. Modules and Apps: Developer is solely responsible for: (i) Modules and Apps and their distribution, operation, and support; (ii) managing all relationships and agreements with Developer’s end users regarding Modules and Apps; (iii) ensuring the functionality, quality, availability, and security of Modules and Apps; and (iv) ensuring Modules and Apps comply with applicable Documentation, all applicable laws and third-party policies and terms.
b. Responsibilities: Developer represents, warrants, and covenants that: (i) it has the legal power and authority to enter into and perform these Terms, and to use the Powered by Zapier Offerings without violating any other agreement; (ii) all information it provides to Zapier is and will be true, accurate, and complete; (iii) it will follow Zapier's registration and credentialing requirements for access to Powered by Zapier Offerings; (iv) it will comply with Documentation and the Acceptable Use Policy; (v) Modules and Apps, and its use of the Powered by Zapier Offering will not violate any third-party rights (including intellectual property, privacy, or publicity rights) or applicable laws or regulations (including U.S. import or export laws and regulations); (vi) it will not interfere with Zapier business operations, including related to the Services or Powered by Zapier Offerings; and (vii) it will not facilitate or encourage its End Users to violate the TOS or interfere with their ability to review or accept it.
c. Restrictions: Developer will not, and will not permit any third party to, directly or indirectly: (i) redistribute, sell, lease, license, copy, publicly perform or display, transmit, publish, edit, adapt, create derivative works of, modify, or otherwise use Powered by Zapier Offerings (or any portion), except as expressly permitted; (ii) use or distribute Powered by Zapier Offerings other than for their intended purpose (including not for any competitive purpose, benchmarking, or to measure its performance); (iii) fail to protect non-public aspects of Powered by Zapier Offerings using measures at least as strict as used for its own Confidential Information (and in any case, no less than reasonable care); (iv) reverse engineer, decompile, or seek to access Powered by Zapier Offerings source code not made available to Developer in source code form; (v) take any action that could subject Powered by Zapier Offerings (or any part) to third-party terms (e.g., open source license terms); (vi) copy, frame, or display any elements of Powered by Zapier Offerings or the Services without Zapier's written consent; and (vii) represent or imply any Zapier sponsorship, endorsement, or affiliation beyond the Powered by Zapier Offering relationship contemplated herein, or make representations or commitments on behalf of Zapier (including for Services or Powered by Zapier Offerings).
3. Zapier Responsibilities
a. Powered by Zapier Offerings: Zapier is solely responsible for: (i) the Powered by Zapier Offerings and their distribution, operation, and support; (ii) managing all relationships and agreements with Zapier’s end users regarding their use of the Service; (iii) the functionality, quality, availability, and security of Powered by Zapier Offerings; and (iv) ensuring Powered by Zapier Offerings, as made available by Zapier, comply with all applicable laws (including U.S. import or export restrictions, laws, or regulations) and third-party policies and terms.
b. Responsibilities: Zapier represents, warrants, and covenants that: (i) it has the legal power and authority to enter into and perform these Terms, and to develop Powered by Zapier Offerings, without violating any other agreement; and (ii) Powered by Zapier Offerings, as made available by Zapier, will not violate any third-party rights (including intellectual property rights and rights of privacy or publicity).
4. User Data
a. User Data: End Users may access, retrieve, transmit, upload, post, delete, collect, maintain, use, store, or otherwise process (collectively, "Process" or "Processed") certain of their data or content through Modules ("User Data") for the End User’s further use. In handling such User Data (including from third-party services), each party will: (i) Process the User Data only to the extent enabled or otherwise agreed upon by End User, and to ensure that it Processes all User Data in accordance with: (1) such party’s agreement with End User, a legally adequate privacy policy, and appropriate notices to and consents from End User; (2) applicable laws; and (3) appropriate measures that protect the privacy and security of User Data; and (ii) Process User Data only to provide user-facing features, and not transfer or sell it for other purposes (e.g., targeting ads, market research, email campaign tracking, and other unrelated purposes).
b. Processing of Data: Each party will comply with applicable data privacy laws for any User Data that it Processes for an End User. When an End User uses Modules to Process User Data: (i) that End User is the "data controller" (under applicable data privacy laws) of their User Data; (ii) Zapier is the "data processor" or "service provider," as applicable (under applicable data privacy laws) of such User Data in Zapier's possession; and (iii) Developer is the "data processor" or "service provider," as applicable (under applicable data privacy laws) of such User Data in Developer's possession.
5. Intellectual Property
a. Rights to Powered by Zapier Offerings: All rights, title, and interest in and to Powered by Zapier Offerings remain with Zapier. Developer is granted only a limited, revocable license under these Terms and obtains no ownership or other interest in Powered by Zapier Offerings.
b. Trademarks
(i) Zapier grants Developer a non-exclusive, non-transferrable (other than to a permitted successor), non-sublicensable and revocable license during the Term to use Zapier's Trademarks to market and promote the Services and Modules’ functionality. Developer's usage of Zapier's Trademarks must adhere to Zapier's trademark notice and brand guidelines, as updated from time to time. Zapier may review Developer's use of Zapier's Trademarks and require correction of non-compliant usage. Any rights acquired by Developer through use of Zapier's Trademarks will inure solely to Zapier's benefit.
(ii) Developer grants Zapier a non-exclusive, non-transferrable (other than to a permitted successor), non-sublicensable license during the Term to use Developer's Trademarks to market and otherwise promote the Module or Developer implementation of the Powered by Zapier Offering and the corresponding App, including without limitation, its availability, capability, and operability with the Service. Zapier's usage of Developer's Trademarks must adhere to Developer's trademark guidelines, as provided by Developer from time to time. Developer may review Zapier's use of Developer's Trademarks and require correction of non-compliant usage. Any rights acquired by Zapier through use of Developer's Trademarks will inure solely to Developer's benefit.
c. Reservation of Rights and Non-Infringement: Each party reserves all rights in its own Trademarks not expressly granted herein. A party using the Trademarks of another party will not: (i) use any marks, domain, product names or business names confusingly similar to the other party's Trademarks; or (ii) use the other party's Trademarks in its business, product/service, or website domain names.
6. Maintenance, Improvements, and Beta Releases
a. Monitoring and Improvements: Zapier may monitor usage of Powered by Zapier Offerings and may, at its discretion, limit Developer's access, including the number of calls or requests allowed. Further, notwithstanding anything to the contrary, Zapier may update Powered by Zapier Offerings (and future versions may not be compatible with Modules or Apps developed using previous versions).
b. Usage Data: Zapier may collect and analyze data related to the provision, use, or performance of the Modules, Powered by Zapier Offerings, and related systems and technologies. Zapier may: (i) use such data to improve and enhance the Powered by Zapier Offerings, Services, and/or Zapier business; and (ii) disclose such data in aggregated or other de-identified forms for business purposes. Zapier's Privacy Policy is incorporated into these Terms.
c. Feedback: Any Feedback provided, whether related to Modules, Powered by Zapier Offerings, Services, or otherwise, may be used by Zapier without any restriction or compensation to Developer. Zapier may independently create software, tools, or other technology similar to Modules or Apps.
d. Beta Releases: Zapier may offer optional Beta Releases. Either party may terminate Developer's use of Beta Releases at any time and for any reason. Beta Releases may be inoperable, incomplete, or include features never released. Notwithstanding anything else in these Terms, Zapier offers no warranty, indemnity, or support for Beta Releases. Information regarding a private Beta Release shared with Developer is Zapier’s Confidential Information under Section 11 below.
7. Term and Termination
These Terms remain effective until terminated ("Term"). Developer may terminate by giving written notice to Zapier and ceasing all use of the Powered by Zapier Offerings. Zapier may terminate at any time, for any reason, including Developer's non-compliance with these Terms. Upon Developer's breach of these Terms, Developer's rights and licenses will immediately terminate. Upon termination: (a) Developer must immediately cease use of Powered by Zapier Offerings and destroy all copies of Powered by Zapier Offering components in its possession; (b) Sections 6 through 14 survive termination; and (c) Developer may no longer access any content, data, or information submitted to Zapier regarding Powered by Zapier Offerings, and Zapier has no obligation or liability resulting from such termination.
8. Disclaimers
Except as expressly set out in these Terms, (a) Powered by Zapier Offerings are provided “as is” without any warranties, express, statutory, or implied, including those of merchantability, fitness for a particular purpose, title, or non-infringement; and (b) Zapier may change the Powered by Zapier Offerings or Services at any time without liability. Zapier makes no representations, warranties, or commitments regarding Modules or their compatibility with third-party apps or Services. Any Zapier warranties in these Terms do not apply to issues arising from third party apps or misuse or unauthorized modifications of the Powered by Zapier Offerings. These disclaimers apply to the full extent permitted by applicable law.
9. Limitation of Liability
Zapier will not have any liability arising out of or related to these Terms for indirect, special, incidental, reliance, or consequential damages or damages for loss of use, lost profits or interruption of business, even if informed of their possibility in advance.Zapier’s entire liability arising out of or related to these Terms will not exceed the greater of: (i) the amounts paid or payable by Developer to Zapier under these Terms (if any) in the twelve (12) months immediately preceding the first incident giving rise to liability; and (ii) US$50. The waivers and limitations in this Section 9 apply regardless of the form of action, whether in contract, tort (including negligence), strict liability or otherwise and will survive and apply even if any limited remedy in these Terms fails of its essential purpose.
10. Indemnification
a. Indemnification by Developer: Developer, at its own cost, will defend Zapier from and against any third-party claim: (i) that the Modules or Apps infringe or misappropriate a third party’s intellectual property rights; (ii) resulting from or in connection with Developer's violation of these Terms or other misuse of the Powered by Zapier Offerings; or (iii) from an End User that is not a Zapier customer (no direct contractual relationship with Zapier) in connection with Developer’s use of a Powered by Zapier Offering (together, "Developer-Covered Claims") and will indemnify and hold harmless Zapier from and against any damages or costs awarded against Zapier (including reasonable attorneys’ fees) or agreed in settlement by Developer resulting from Developer-Covered Claims.
b. Indemnification by Zapier: Zapier, at its own cost, will defend Developer from and against any third-party claim that the Powered by Zapier Offerings, when used by Developer as authorized in these Terms, infringe or misappropriate a third party’s intellectual property rights ("Zapier-Covered Claims") and will indemnify and hold harmless Developer from and against any damages or costs awarded against Developer (including reasonable attorneys’ fees) or agreed in settlement by Zapier resulting from the Zapier-Covered Claims.
c. Procedures: The indemnifying party’s obligations are subject to receiving from the indemnified party: (i) prompt notice of the claim (but delayed notice will only reduce the indemnifying party’s obligations to the extent prejudiced by the delay); (ii) the exclusive right to control the claim’s investigation, defense, and settlement; and (iii) reasonable cooperation at the indemnifying party’s expense. The indemnifying party may not settle a claim without the indemnified party’s prior approval if settlement would require the indemnified party to admit fault or take or refrain from taking any action. The indemnified party may participate in a claim with its own counsel at its own expense.
d. Mitigation: In response to an infringement or misappropriation claim, if required by settlement or injunction or as Zapier determines necessary to avoid material liability, Zapier may: (i) procure rights for Developer's continued use of the Powered by Zapier Offering; (ii) replace or modify the allegedly infringing portion of the Powered by Zapier Offering to avoid infringement, without reducing the overall functionality of the Powered by Zapier Offering; or (iii) terminate the affected Order and refund to Developer any pre-paid, unused fees for the terminated portion of the Order’s term.
e. Exceptions: Zapier’s obligations in this Section 10 do not apply to claims resulting from: (i) modification or unauthorized use of the Powered by Zapier Offerings; (ii) use of the Powered by Zapier Offerings in combination with items not provided by Zapier, including third-party apps; or (iii) Powered by Zapier Offerings other than the most recent release, if Zapier made available a newer release that would avoid infringement.
f. Exclusive Remedy: This Section 10 sets out the indemnified party’s exclusive remedy and the indemnifying party’s sole liability regarding third-party claims of intellectual property infringement or misappropriation covered by this Section 10.
11. Informações Confidenciais
a. Confidential Information: Each party ("Disclosing Party") may disclose Confidential Information to the other party ("Receiving Party") in connection with these Terms. Confidential Information is anything that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure, including non-public aspects of the Powered by Zapier Offerings (such as Zapier-provided access keys or credentials, which are Zapier Confidential Information and not to be shared with third parties), or any component made available to Developer by Zapier, as well as non-public business, product, product roadmap, technology, and marketing information. If something is labeled "Confidential," that is a clear indicator to the Receiving Party that the material is confidential. Notwithstanding the above, Confidential Information does not include information that (i) is or becomes generally available to the public without breach of any obligation owed to the Disclosing Party; (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (iii) is received from a third party without breach of any obligation owed to the Disclosing Party; or (iv) was independently developed by the Receiving Party.
b. Protection and Use of Confidential Information: The Receiving Party will (i) take at least reasonable measures to prevent the unauthorized disclosure or use of Confidential Information, and limit access to those employees, affiliates, and contractors who need to know such information in connection with these Terms, provided, they are bound to confidentiality obligations at least as restrictive as those in these Terms; and (ii) not use or disclose any Confidential Information of the Disclosing Party for any purpose outside the scope of the Powered by Zapier Offerings and these Terms. Nothing above will prevent either party from sharing Confidential Information with financial and legal advisors; provided, such advisors are bound to confidentiality obligations at least as restrictive as those in these Terms.
c. Compelled Access or Disclosure: The Receiving Party may access or disclose Confidential Information of the Disclosing Party if it is required by law; provided, however, that the Receiving Party gives the Disclosing Party prior notice of the compelled access or disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the access or disclosure. If the Receiving Party is compelled by law to access or disclose the Disclosing Party's Confidential Information, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing access to such Confidential Information as well as the reasonable cost for any support provided in connection with the Disclosing Party seeking a protective order or confidential treatment for the Confidential Information to be produced.
12. Notice
a. Zapier Notice to Developer: Zapier may provide Developer with notices through the Powered by Zapier portal or by electronic mail to Developer’s email address on record in its Zapier account. Developer is responsible for ensuring that its contact information is both current and accurate in its Zapier Account.
b. Developer Notice to Zapier: If Developer has a dispute with Zapier, wishes to provide notice under these Terms, or becomes subject to insolvency or other similar legal proceedings, Developer must promptly send notice via email to legal@zapier.com.
13. Modificações nos Termos
Zapier may revise these Terms from time to time by posting a modified version. Unless otherwise provided by Zapier, modifications to these Terms will be effective immediately. By continuing to access or use the Powered by Zapier Offerings (or any part thereof), including maintaining Modules, after the posting of such modifications, Developer agrees to be bound by such modified Terms. If Developer does not or cannot agree to the modified Terms, Developer's sole remedy is to terminate Developer's use of Powered by Zapier Offerings.
14. Em geral
a. Force Majeure: Neither party is liable for a delay or failure to perform these Terms due to an unforeseen event beyond a party’s reasonable control, such as a strike, blockade, war, pandemic, act of terrorism, riot, third-party Internet or utility failure, refusal of government license or natural disaster, where the affected party takes reasonable and customary measures to avoid or mitigate such event’s effects ("Force Majeure Event"). If a Force Majeure Event materially adversely affects a Powered by Zapier Offering for fifteen (15) or more consecutive days, either party may terminate the affected Order(s) upon notice to the other and Zapier will refund to Developer any pre-paid, unused fees for the terminated portion of the current Order term. However, this does not limit Developer's obligations to pay fees owed.
b. Assignment: Developer may not assign these Terms without Zapier's prior written consent, except in connection with a merger, consolidation, or sale of substantially all assets (and not to any competitor of Zapier, as determined in Zapier's sole discretion). Any prohibited assignment is void. Zapier may assign these Terms without restriction or notice. These Terms are binding on the parties and their respective successors.
c. Severability and Waiver: If any provision of these Terms is held to be invalid or unenforceable, the remaining portions will remain in full force and effect and such provision will be enforced to the maximum extent possible so as to effect the intent of the parties and will be reformed to the extent necessary to make such provision valid and enforceable. No waiver of rights by either party may be implied from any actions or failures to enforce rights under these Terms.
d. No Third-Party Beneficiaries: These Terms do not create any right in favor of any third party.
e. Governing Law; Jurisdiction: These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without reference to its conflict of laws principles. All disputes arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of a court of competent jurisdiction located in Wilmington, Delaware, and each party irrevocably consents to such personal jurisdiction and waives all objections to this venue.
f. Entire Agreement: These Terms, the policies or terms expressly referenced and incorporated into these Terms, and any corresponding Orders constitute the entire agreement and understanding between the parties concerning the subject matter hereof. These Terms supersede all prior or contemporaneous discussions, proposals, and agreements between Developer and Zapier relating to the subject matter hereof.
g. Independent Contractors: The parties are independent contractors. Nothing in these Terms creates an agency, partnership, or joint venture.
h. Government Rights: To the extent applicable, Powered by Zapier Offerings are deemed "commercial computer software" or a "commercial item" under FAR 12.212 and DFARS 227.7202. Use, reproduction, release, modification, disclosure, or transfer of any Powered by Zapier Offering is governed solely by these Terms, and all other use is prohibited.
